Healthcare Relationship Management System User Agreement 

Effective Date: October 14, 2024

This User Agreement (“Agreement”) governs your access to and use of the Healthcare Relationship Management System (“HRMS” or "the Platform"). By accessing or using the Platform, you agree to comply with the terms outlined in this Agreement. If you do not agree to these terms, you are not authorized to use the Platform.

Acceptance of Terms 

By accessing or using the Platform, you confirm that you have the legal right to do so and the authority to enter into this binding contract on behalf of yourself or the organization you represent. You are required to accept these terms when you sign up or log in to the Platform.

License Grant 

This Agreement entitles you to use the HRMS Platform and, if applicable, make archival copies of your data.

Restrictions 

You agree not to:

• Modify, reverse engineer, decompile, or create derivative works of the Platform. 
• Share, lease, or sell the Platform to any third party. 
• Remove proprietary notices or interfere with the Platform’s security mechanisms. 
• Use the Platform in any manner that violates laws or infringes third-party rights.
• Circumvent access controls or use the Platform to engage in unauthorized activities.

Termination of Access

The Platform administrators reserve the right to suspend or terminate your access for any violation of these terms or other reasonable cause.

Account Creation and Security 

To access the Platform, your company's administrator invites users to create an account. Each individual using the Platform is considered a “Direct User.” 

As an Administrator /User, you agree to:

• The restrictions 
• Provide accurate and up-to-date information.
• Maintain the confidentiality of your login credentials.
• Notify the company’s administrators immediately of any unauthorized access or security breaches. 

The Platform administrators are not responsible for losses arising from unauthorized account access.

Availability and Maintenance 

The Platform will make commercially reasonable efforts to maintain availability, with exceptions for scheduled maintenance or events beyond the Platform’s control (e.g., natural disasters, third-party failures). Users with active subscriptions will receive updates and can email technical support as needed.

Data Ownership and Usage 

Company Administrators and their Users retain ownership of the data they input into the Platform. By using the Platform, Users grant the Platform administrators a non-exclusive license to access data solely for operational and support purposes. 

• Backup: The Platform may back up data, but Company Administrators and Users are encouraged to maintain their own data copies. 
• Third-Party Integrations: The Platform does not support third-party integration and/or API connections.

Subscription and Payment 

Use of the Platform requires a subscription (“Subscription”). 

• Subscription Plans: Subscription details, including pricing and features, will be communicated during the sales process or displayed on the relevant website. 
• Payment: Users must provide a valid payment method and authorize automatic billing for renewal periods. Monthly and Annual subscriptions are available.   
• Automatic Renewal: We will remind you of your subscription renewal thirty days before expiration before it automatically renews. 
• If you do not renew, your account will not be accessible to the administrator and users, and data will be deleted 30 days after non-renewal. 

Cancellation and Termination 

• Cancellation: Users may cancel their subscription anytime via the Platform’s “Account” settings or by emailing support. Subscription Plan, Cancel Subscription, and Delete Account are highly visible on the “Account” page. 
• Mid-period cancellations will not receive a prorated refund, and your account will be available until the expiration. (For example, if you subscribe monthly with a start of October 1st and you cancel on October 15th, your account will be available until and cancel at the end of the day October 31st.) 
• If you wish to stop accessing your account immediately, cancel the subscription and delete the data. This does not constitute a refund. 
• Termination: If payment fails or there is a material breach of this Agreement, the Platform may terminate access without notice. Users whose accounts are terminated will lose access to the Platform immediately.

Privacy and Data Security 

The Platform is committed to maintaining the privacy and security of User data. All personal information collected during use will be handled according to applicable privacy policies. The Platform may use aggregated data for operational improvements.

Disclaimer and Limitation of Liability 

The Platform is provided “as is” without warranties of any kind. 

• The Platform administrators do not guarantee error-free operation or uninterrupted service. 
• In no event will the platform administrators be liable for indirect, incidental, or consequential damages arising from your use of the Platform. 

Indemnification 

You agree to indemnify and hold harmless the Platform administrators from any claims, actions, or damages resulting from:

• Your breach of this Agreement.
• Your content violating third-party rights.

Intellectual Property Rights 

The Platform and its content are protected by copyright and other intellectual property laws. Users are granted a limited license to use the Platform but may not reproduce, distribute, or modify it without explicit permission.

Compliance 

The Platform administrators may preserve and disclose User data as required by law or if necessary to enforce this Agreement or respond to legal claims.

Assignment 

Users may not transfer or assign their rights or obligations under this Agreement.

Severability 

If any provision of this Agreement is found to be unlawful or unenforceable, the remaining provisions will remain in effect.

Modifications to the Agreement 

The Platform administrators reserve the right to update or modify this Agreement at any time, with such changes provided in writing. Users will be notified of any material changes, and continued use of the Platform after notification constitutes acceptance of the revised terms.

We will send you transactional emails like payment confirmations.

You may opt-in to receive promotional emails during checkout or other interactions.

• Marketing and Educational Communications: We may contact you for marketing, promotional, or educational purposes only for our products/services. You have the option to opt out of such communications at any time.

Data Privacy and Disclosure: Your personal data will not be sold, shared, or disclosed to any third party except as required by law, regulatory obligations, or court order.

Governing Law 

This Agreement will be governed by the laws of the State of Michigan, without regard to conflict of law provisions. Any disputes arising from this Agreement will be resolved through binding arbitration or in the courts of Michigan.

Acknowledgment 

By using the Platform, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.
